Chief Legal Officer

Bitcoin Depot is the largest Bitcoin ATM network globally, providing cryptocurrency buying and selling services through thousands of locations and publicly traded on NASDAQ under ticker BTM. The Chief Legal Officer leads legal and compliance functions, oversees regulatory strategy, manages SEC reporting, and advises executive leadership on risk and governance matters across digital asset and financial services operations.

Bitcoin Depot is seeking a Chief Legal Officer (CLO) to lead its legal and compliance functions in a rapidly evolving digital asset and financial services environment. Reporting to the Chief Operating Officer and serving on the Executive team, the CLO will provide strategic oversight of regulatory compliance, corporate governance, SEC reporting, and risk management initiatives. This role ensures the company operates in accordance with federal and state financial regulations while supporting continued growth and public company responsibilities.

Responsibilities:
- Provide strategic leadership and oversight of Legal and Compliance teams and programs.
- Advise executives on regulatory developments related to financial services, lending, and cryptocurrency.
- Oversee SEC reporting obligations including Forms 10-K, 10-Q, 8-K, Section 16 filings, and proxy statements.
- Draft and review commercial contracts and operational agreements.
- Manage outside counsel relationships and control legal expenditures.
- Support corporate governance activities and liaise with the Board of Directors.

Requirements:
- Juris Doctor degree and active membership in at least one state bar.
- 10+ years of legal experience in-house or at a large firm, ideally within lending or financial services.
- Strong knowledge of U.S. financial services regulations and SEC reporting requirements.
- Experience with corporate governance, M&A, and compliance frameworks.
- Familiarity with cryptocurrency regulations preferred.
- Ability to provide risk-weighted, strategic legal advice to executive leadership.
